1. About us and these Terms
These Terms govern your use of starflowxl.online (the "Platform"), operated by Star Flow XL LLC, a Wyoming limited liability company ("SFXL", "we"). By using the Platform, you accept these Terms. Any sourcing services are governed by a separate written agreement with each client (the "Agreement"). If these Terms and the Agreement conflict, the Agreement prevails.
2. Business use only
The Platform is for businesses only. By using it, you confirm that you act for a business and not as a consumer, and that you have authority to bind that business.
3. What the Platform is
The Platform presents SFXL and its sourcing services and lets you get in touch. Content on the Platform is general information and is not an offer. Commercial terms are agreed individually with each client and set out in the Agreement.
4. Estimates are not quotes
Landed-cost figures, tariff-inclusive cost estimates, duty rates and freight figures shared through the Platform or in quotes are non-binding, illustrative estimates. They are not quotes, offers, guarantees or customs advice. They may be incomplete or out of date, and they may exclude costs such as MPF, HMF, broker fees, ISF, bond, drayage, port charges and AD/CVD. Confirm them with your customs broker and freight provider before you order. Supplier prices are offers from suppliers, not from us.
5. Commercial terms
Commercial terms are agreed individually with each client.
6. Your responsibilities
You will provide accurate information, use the Platform lawfully, comply with sanctions and export/import laws, and not misuse, scrape or disrupt the Platform.
7. Early access
The Platform is in early access. Features may change, be interrupted or be withdrawn, and are provided without any service-level commitment.
8. Disclaimer
To the maximum extent permitted by law, the Platform and all information on it are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
9. Limitation of liability.
9.1 Free use of the site. The site, its content and any information, estimates or introductions provided before a signed SFXL agreement or order are provided free of charge, "as is" and for general information only. To the fullest extent permitted by law, SFXL has no liability for them unless and until the parties sign a written agreement or order, except for liability that cannot be excluded by law (including for fraud, gross negligence or wilful misconduct).
9.2 Signed orders. Where a signed agreement or order exists, SFXL's total liability arising out of or relating to it is limited to the fees actually paid to SFXL for that order, as set out in that agreement.
9.3 Excluded damages. In no case is SFXL liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of their possibility.
9.4 Where the law does not allow these limits in full, SFXL's liability is limited to the minimum extent the law permits.
10. Indemnity
You will indemnify us against third-party claims arising from your use of the Platform or your breach of these Terms.
11. Privacy
Our Privacy Policy explains how we handle personal data. This site uses no cookies or analytics.
12. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. The forum for disputes (Wyoming courts or international arbitration) is being finalized and will be stated here. The UN Convention on Contracts for the International Sale of Goods does not apply.
13. Changes and general
We may update these Terms. We will post the new version here with a new date. If any provision is unenforceable, the rest remains in effect. Failing to enforce a provision is not a waiver.
